1. General
These Terms and Conditions apply to all services provided by Chaadu B.V. (KvK: 98624342), Meester van Busselstraat 114, 5731ND Mierlo, Netherlands. By engaging our services, you agree to these terms.
2. Services
Chaadu B.V. provides IT consultancy, web development, custom software development, and cloud solutions. The specific scope, deliverables, and timeline of each engagement are defined in a separate project agreement or statement of work.
3. Intellectual Property
Upon full payment, the client receives ownership of all custom deliverables created specifically for them. Chaadu B.V. retains ownership of any pre-existing tools, frameworks, or methodologies used in the delivery of services.
4. Payment Terms
Invoices are payable within 30 days of issue unless otherwise agreed in writing. Late payments may incur interest at the statutory rate under Dutch law. Chaadu B.V. reserves the right to suspend services for overdue accounts.
5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement for a period of 3 years.
6. Limitation of Liability
Chaadu B.V. liability is limited to the total fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental damages.
7. Governing Law
These terms are governed by Dutch law. Any disputes shall be submitted to the competent court in the Netherlands.
8. Amendments
Chaadu B.V. reserves the right to update these Terms and Conditions. The most current version will always be available on this website.
